According to people familiar with the matter, the group refinanced around $3.2 billion of earlier borrowings, and the upcoming tranche \u2014 including both principal and interest \u2014 is due within the next two months.<\/p>\n<p data-start=\"772\" data-end=\"1144\">The Mistry family, which controls the SP Group, reportedly holds promoter-level debt estimated at \u20b925,000\u201330,000 crore, about half of the group\u2019s total debt of \u20b955,000\u201360,000 crore. However, raising funds for this repayment could prove challenging, complicating the group\u2019s plans to sell its 18% stake in Tata Sons, the holding company of the Tata Group.<\/p>\n<h2 data-start=\"1151\" data-end=\"1202\">Tata Sons Stake Pledged, But Hard to Monetise<\/h2>\n<p data-start=\"1204\" data-end=\"1355\">While the Tata Sons shares have been pledged as security, experts note that invoking this pledge may not offer lenders an easy route to recovery.<\/p>\n<blockquote data-start=\"1357\" data-end=\"1510\">\n<p data-start=\"1359\" data-end=\"1510\">\u201cTata Sons is an unlisted company, and its shares cannot be sold to external buyers without Tata Group\u2019s consent,\u201d said a person aware of the matter.<\/p>\n<\/blockquote>\n<p data-start=\"1512\" data-end=\"1759\">This makes it difficult for lenders to liquidate the collateral even if the group defaults. Under current rules, selling the stake to Tata Sons directly would attract a 36% capital gains tax, while a public listing would lower the tax burden to around 12%.<\/p>\n<p data-start=\"2507\" data-end=\"2611\">However, a Tata Sons IPO remains uncertain, and the timeline for such a move has not been made public.<\/p>\n<h2 data-start=\"2618\" data-end=\"2670\">Complex Debt Structure and Refinancing Efforts<\/h2>\n<p data-start=\"2672\" data-end=\"2988\">The SP Group\u2019s debt is spread across several promoter entities. A large portion is linked to Sterling Investments Pvt Ltd, which holds over 9% in Tata Sons. In 2021, Sterling Investments had raised $2.6 billion from Ares Management and Farallon Capital, with a loan tenor of three and a half years.<\/p>\n<p data-start=\"2990\" data-end=\"3250\">Earlier this year, the group refinanced $3.2 billion of its outstanding debt, led by Davidson Kempner and Cerberus Capital, with continued participation from Farallon Capital and Ares Management, who rolled over parts of their maturing loans.<\/p>\n<p data-start=\"3252\" data-end=\"3472\">The group also explored refinancing options with Power Finance Corporation (PFC) at a lower interest rate. However, PFC\u2019s Investment Committee did not approve the proposal for unspecified reasons, sources said.<\/p>\n<h3 data-start=\"3479\" data-end=\"3518\">Asset Sales and Repayments So Far<\/h3>\n<p data-start=\"3520\" data-end=\"3873\">To reduce its financial burden, the SP Group has sold multiple assets and repaid a significant portion of its earlier dues. Goswami Infratech, one of the group\u2019s subsidiaries, reportedly repaid about \u20b914,300 crore through proceeds from the IPO of Afcons Infrastructure and the sale of its stake in Gopalpur Port to the Adani Group.<\/p>\n<p data-start=\"3875\" data-end=\"4057\">Despite these efforts, the group\u2019s upcoming repayment remains a major challenge, especially given the unlisted nature of Tata Sons shares \u2014 its largest and most valuable asset.<\/p>\n<h3 data-start=\"4064\" data-end=\"4110\">Outlook: High Stakes and Limited Options<\/h3>\n<p data-start=\"4112\" data-end=\"4317\">As the December deadline approaches, the Shapoorji Pallonji Group faces rising pressure to find a workable solution.
