In an exclusive conversation with Moneycontrol<\/em>, Pine Labs CEO Amrish Rau discussed the company\u2019s evolving identity, strong financial growth, and upcoming IPO opening on November 7. He emphasized that Pine Labs has moved far beyond being just a point-of-sale (PoS) company to become a software-led, full-stack fintech enterprise.<\/p>\n

Investor Feedback and IPO Sentiment<\/h2>\n

During his Gujarat investor roadshow, Rau noted that feedback from investors in Ahmedabad and Rajkot has been overwhelmingly positive.<\/p>\n

\n

\u201cEvery company going to IPO visits Rajkot and Ahmedabad. Investors are very supportive, and no one is looking for an exit,\u201d Rau said.<\/p>\n<\/blockquote>\n

While the IPO size reduction drew attention, Rau clarified that the decision stemmed from the firm\u2019s valuation philosophy and goodwill among clients.<\/p>\n

\u201cAll top banks, retailers, and e-commerce firms work with us because of our technology and trust,\u201d he added.<\/p>\n

Strong Growth Metrics Highlighted in RHP<\/h2>\n

According to Pine Labs\u2019 Red Herring Prospectus (RHP), the company\u2019s gross transaction value (GTV) has grown nearly 60% CAGR over the past three years. Transaction values increased by about 48\u201350%, and merchant onboarding rose by 30% year-on-year, reflecting consistent performance and market expansion.<\/p>\n

Profitability and Operating Leverage<\/h2>\n

Rau highlighted Pine Labs\u2019 EBITDA margins improving from 11\u201312% in FY22 to 20% currently, even as revenues surged. The company achieved this through broad-based growth and cost control efficiency.<\/p>\n

He also noted that ESOP expenses are declining, with recent grants issued closer to the fair market value, reducing accounting impact. Despite ESOP-related costs, Pine Labs turned PAT positive in Q1 FY26.<\/p>\n

Business Transformation and Diversification<\/h2>\n

A key message from Rau was Pine Labs\u2019 diversification beyond PoS.<\/p>\n

\u201cPeople who think we\u2019re just a PoS company are missing the full picture,\u201d he said.<\/p>\n<\/blockquote>\n

In Q1 FY26, the company reported $46 billion in GTV, with growth driven across all verticals \u2014 PoS, online payments, BBPS, and prepaid services. Notably, the prepaid business now contributes around 30% of Pine Labs\u2019 \u20b9650 crore quarterly revenue.<\/p>\n

Four Key Verticals Define Pine Labs 2.0<\/h2>\n

As outlined in the RHP, Pine Labs operates across four major verticals:<\/p>\n

    Value-added services & transaction processing<\/p>\n<\/li>\n

    Fintech infrastructure (APIs, BBPS, online payments)<\/p>\n<\/li>\n

    Issuing & processing<\/p>\n<\/li>\n<\/ol>\n

    These together form what Rau calls \u201cPine Labs 2.0\u201d \u2014 a full-stack fintech model unmatched in India.<\/p>\n

    IPO Outlook and Long-Term Vision<\/h3>\n

    For Rau, the IPO is a \u201ccorporate milestone,\u201d not an end goal.<\/p>\n

    \u201cI\u2019ve already built and exited a startup before. This time, it\u2019s about building a world-class fintech,\u201d he said.<\/p>\n<\/blockquote>\n

    He believes revenue growth and EBITDA margins should be the key metrics for investors to track post-listing.<\/p>\n

    Rau concluded that Pine Labs\u2019 evolution into a diversified fintech positions it strongly for sustainable growth, both in India and globally.<\/p>\n
