The deal, valued at \u20b9104.33 crore, will be executed via a share swap transaction, further strengthening Moonshine\u2019s position in India\u2019s rapidly growing online rummy market.<\/p>\n<h3 data-start=\"627\" data-end=\"670\">Key Highlights of the Transaction<\/h3>\n<ul data-start=\"672\" data-end=\"1170\">\n<li data-start=\"672\" data-end=\"786\">Nazara Technologies will transfer its 94.85% stake in OpenPlay to Moonshine through a share swap deal.<\/li>\n<li data-start=\"787\" data-end=\"928\">Moonshine will issue 1,99,890 Compulsory Convertible Preference Shares (CCPS) to Nazara and other sellers as part of the transaction.<\/li>\n<li data-start=\"929\" data-end=\"1049\">Post-acquisition, OpenPlay will become a subsidiary of Moonshine, where Nazara already holds a 46.07% stake.<\/li>\n<li data-start=\"1050\" data-end=\"1170\">The move aligns with Moonshine\u2019s broader goal of creating a holistic, made-in-India real-money gaming ecosystem.<\/li>\n<\/ul>\n<p data-start=\"1172\" data-end=\"1521\"><em data-start=\"1172\" data-end=\"1461\">&#8220;The acquisition of OpenPlay is in line with Moonshine\u2019s vision of building a holistic made-in-India RMG ecosystem.
