VARROC

It was being incorporated as on May 11, 1988, at Mumbai as Varroc Engineering Private Limited, a private limited company under the provisions of the Companies Act, 1956. On July 1, 1997, it was being converted into a deemed public company under section 43A (1A) of the Companies Act, 1956 and the word “Private” was deleted from the company name. After that, on January 24, 2001, it was converted into a private company under section 43A (2A) of the Companies Act, 1956 and the word “Private” was also added to the company name. Subsequently, it was converted into a public limited company according to the approval of the Shareholders at an extraordinary general meeting held as on January 25, 2018. On February 5, 2018, the company name was changed to Varroc Engineering Limited, and a fresh certificate of incorporation consequent upon conversion to a public limited company was being issued to the Company by the RoC.

Some of the Milestones:

  • 2005: It formed Varroc Exhaust Systems Private Limited to manufacture catalytic converters for two-wheelers and three-wheelers.
  • 2007:
  • It formed a joint venture with Plastic Omnium Auto Exterior SAS, France.
  • It acquired I.M.E.S., Italy.
  • 2008: It entered into a composite scheme of arrangement between Varroc Lighting Private Limited (“or VLPL”), VPPL and the Company whereby VLPL was amalgamated with the Company, and the polymer business of the Company was being demerged into VPPL
  • 2011: It acquired two-wheeler lighting business of TRI.O.M. S.p.A.
  • 2012: It acquired the lighting division of Visteon Corporation.
  • 2014: 
  • It acquired of 50% stake in Varroc TYC Corporation, BVI from Viseton International Holdings Inc.
  • The investment in the Company by Investor Selling Shareholders.
  • 2018:
  • It acquired a 90% stake in Team Concepts through the Subsidiary VPPL.
  • The investment in two-wheeler electronic fuel injection technology by entering into a joint venture agreement with Dell'Orto S.p.A.
  • The investment in lighting manufacturing units in Brazil & Morocco.
  • It also diversified its business activities by acquiring Team Concepts, which is in the business of manufacturing of auto accessories.
