Profile
VBL It was incorporated as Varun Beverages limited as on June 16, 1995, at New Delhi as a public limited company under the Companies Act, 1956. It also obtained a certificate of commencement of business as of July 4, 1995. It has also been associated with PepsiCo since the 1990s and also has over two and half decades consolidated the business association with PepsiCo, increasing the number of licensed territories and sub-territories being covered by the company, producing and distributing a wider spectrum of PepsiCo beverages, and introducing various SKUs in the portfolio, and expanding the distribution network. Also, as of the date of this Red Herring Prospectus, it has 53 Equity Shareholders.

Some of the Milestones:

  • 1995: The incorporation of the Company took place as a public limited company.
  • 1996: It started its operation at Jainpur.
  • 1999: It started its operations in Alwar, Jodhpur, and Kosi.
  • 2004: The merger of DBL with the Company according to the order of High Cthet of Delhi dated October 6, 2004.
  • 2012: Also, the merger of VBIL with the Company according to the order of High Cthet of Delhi dated March 12, 2013.
  • 2013: It acquired the business of manufacturing and marketing of soft drink beverages and syrup mix in Delhi, India.
  • 2015:
  • The Business transfer agreement via which it acquired PepsiCo India’s business of manufacturing, marketing, selling and distributing soft drink beverages and syrup mix in the Indian states of Uttar Pradesh (excluding specific territories), Himachal Pradesh, Uttarakhand, Haryana (excluding specific territories) and the Union Territory of Chandigarh.
  • Also, the business transfer agreement via which it acquired PepsiCo India’s business of manufacturing, marketing, selling and distributing soft drink beverages and syrup mix in Jaipur, Bazpur, Satharia, and Panipat.
  • It acquired the business of selling and distribution of soft drinks beverages and syrup mix in one district undertaking located in Punjab.
  • 2016:
  • It acquired the entire shareholding of Arctic International Private Limited in Varun Beverages Mozambique, Limited.
  • It acquired the entire shareholding of Arctic International Private Limited in Varun Beverages (Zambia) Limited.
  • The incorporation of Varun Beverages (Zimbabwe) (Private) Limited.
  • The acquisition of 85% of the shareholding of VBZPL.
